Case Study: LandSea Systems, Inc.
Case Study: LandSea Systems - Sell Side
Situation
  • LandSea Systems has been the largest North American distributor for Thrane and Thrane for more than ten years.
  • During recent years, LandSea Systems had established a strong position in the United States, particularly in the government and military sectors.
Objective
  • The primary objective of the transaction was liquidity and retirement for the two founding shareholders while allowing the Company to prosper through the transition period.
Solution
  • A complex transaction to include cash, stock and earn-outs was negotiated with the Company’s primary supplier in order to maximize value
  • In the end, Matrix and the shareholders were able to negotiate and close an all-cash transaction. In addition, Management (founder’s relatives) remained with the Company post-transaction.
  • Thrane & Thrane believes that the acquisition of LandSea Systems creates a strong foundation for a successful commercial launch of other future terminals and will improve their success in the North American satellite communications market.
