Jeffrey G. Moore, Managing Director
As President and co-founder of Matrix Capital Markets Group, Mr. Moore has shared his negotiating and financial experience with clients involved in a wide range of merger and acquisition activities including exclusive sales, complex recapitalizations, and management buyouts. He has taken direct responsibility for dozens of middle market assignments and has participated in over 100 Matrix transactions. Prior to Matrix, Mr. Moore gained substantial underwriting and lending experience as a senior financial analyst with the multibillion-dollar conglomerate, Figgie International. His responsibilities were to procure, analyze, and fund commercial lending and investment transactions including leveraged buy-outs and intricate tax oriented limited partnerships. Mr. Moore also was instrumental in analyzing prospective acquisitions, structuring loan workouts and providing post transaction consulting services. He graduated Magna Cum Laude from the University of Richmond, with his B.S. in Business Administration and M.B.A. concentrating in Finance. Mr. Moore is qualified as a Series 24 General Principal, Series 62 and Series 63 FINRA General Securities Representative. He serves on the Advisory Board for Rasmussen Reports, an electronic publishing firm specializing in the collection, processing, publication and distribution of public opinion information. He also serves on the Board of Directors for O'Sullivan Films, North America's leading supplier of single-ply vinyl and thermoplastic olefin sheeting to the automotive industry for instrument panels, and premier producer of flexible vinyl sheet for applications ranging from building products to notebook covers.

Thomas E. Kelso, Managing Director
Mr. Kelso directs Matrix's Baltimore office, and manages the Energy and Multi-site Retail Industry Team. In addition, Mr. Kelso manages the firm's Restructuring, Reorganization and Bankruptcy practice. Prior to joining Matrix, Mr. Kelso was a principal at Kennilworth Holdings, Inc., where he consulted with clients on mergers and acquisitions, and private placement of debt and equity. During that time, he worked primarily with companies engaged in the distribution and retailing of motor fuels and heating fuels, and in convenience store operations. He was the co-founder, 50% stockholder and CFO of Ocean Petroleum Company, an independent petroleum marketer and branded distributor for Exxon USA, Sunoco and BP in Maryland, Delaware and Virginia. Mr. Kelso also was employed by Johns Hopkins University and the Johns Hopkins Federal Credit Union. Mr. Kelso's clients include R. R. Morrison & Son, EMAC, RPF Oil Company, Williamson Oil Company, Swifty Serve, FasMart, Acme Petroleum and Fuel, Angus I. Hines, Inc., Carroll Independent Fuels, RAN Oil Company, eatZi's Market & Bakery, DB Companies, and Suwannee Swifty Stores.

Michael C. Morrison, Managing Director
Michael joined Matrix in July, 2002 following four years at Duff & Phelps LLC overseeing its New York Investment Banking operation and after spending 13 years in commercial banking. From 1986 through 1993, he served in a variety of lending groups for Fleet Bank participating in LBO's, MBO's, Structured Finance, and Asset Based Lending. From 1993 to 1998, he continued his banking career as an SVP for Citizens Financial Group overseeing regional lending groups involved in leveraged finance, structured finance, and asset based lending. In addition to his general experience in manufacturing, distribution, and service industries, Michael has specific expertise with automotive, building products, staffing, insurance, printing, logistics, metals, mining, aerospace, and forest products. His current responsibilities include the origination and execution of Sell-Side M&A engagements, Buy-Side M&A engagements, Capital Raising or Private Placements as well as general Advisory assignments for both privately owned and publicly traded companies. Michael graduated from Middlebury College in 1986. He is qualified as a Series 7 and Series 63 FINRA General Securities Representative and as a Series 24 General Principal. He serves on the Board of Directors for VIP, Inc., a super-regional automotive tire, parts and service company and for Rossi American Hardwoods, Inc., a manufacturer and international distributor of hardwood lumber.

William H. Weirich, Managing Director
Mr. Weirich joined Matrix in 1991 after a 20-year
career with Union Carbide Corporation. His work there included senior
management experience as President of Union Carbide Industrial Services
from 1983 to 1986, and President of Linde Gases of the Midwest from 1986
to 1990. When the subsidiary was sold in 1991, Linde Gases was a $70 million
industrial distribution company with 18 locations in Chicago, Indianapolis,
and Milwaukee. Mr. Weirich is currently a Managing Director at Matrix,
where his hands-on corporate M&A and operating experience is of value
to public corporations and large privately held businesses who are in
need of M&A advisory services for middle market acquisitions, divestitures
of business units or orphan products, or management buyouts. He is a past
President and Chairman of M&A International Inc., a consortium of over
40 middle market investment banking firms in the Americas, Europe, and
the Pacific Rim, and currently serves on the Executive Committee. Mr.
Weirich served on the Board of Directors of ACG where he chaired the International
Expansion Committee. He received his B.S. in Mechanical Engineering from
the University of Notre Dame and his M.B.A. from Rutgers University, and
qualified as a Series 24 General Principal, Series 62, and Series 63 FINRA
General Securities Representative.

John D. Cudzik, Director
Prior to his position as Director with Matrix, Mr.
Cudzik served as Manager of Acquisitions for Ferguson Enterprises, Inc.,
a subsidiary of Wolseley plc and leading distributor of plumbing
supplies; pipes, valves and fittings; heating and cooling equipment
(HVAC); waterworks; mechanical and industrial; bathrooms and appliances;
tools and safety equipment; and fire protection products. Previously,
Mr. Cudzik was Manager of Business Development with Albright & Wilson, a
leading international chemical manufacturer of flame retardants,
surfactants, phosphoric acid, phosphonates, phosphates, and many other
organic and inorganic intermediate chemical compounds used in a variety
of industries. At Albright and Wilson, he was responsible for business
development activities including acquisitions, divestitures, and joint
ventures across North, Central and South America. Having participated in
over 75 transactions, Mr. Cudzik has accumulated extensive knowledge in
the building products industry, as well as in the specialty and
commodity chemicals sectors. He has 19 years of corporate finance
experience with a significant concentration in wholesaler distribution.
His current responsibilities include the origination and execution of
Sell-Side and Buy-Side M&A engagements, Capital Raising or Private
Placements as well as general advisory assignments for privately held
companies. He holds an M.B.A from the University of Richmond and a
Bachelor of Arts degree in Economics from the College of William and
Mary.
